1. Acceptance of Terms
By accessing or using Nova's platform, submitting an application, or performing work through our services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not use our services.
Nova reserves the right to modify these Terms at any time. We will notify users of material changes through email or platform notifications. Continued use of our services after changes constitutes acceptance of the updated Terms.
2. Service Description
Nova operates as a digital platform that connects independent contractors with remote work opportunities. Our services include:
- Matching qualified contractors with suitable remote work assignments
- Providing training and resources for remote work tasks
- Facilitating communication between contractors and clients
- Processing payments for completed work
- Offering ongoing support and quality assurance
Nova does not guarantee continuous work availability or specific income levels. Work opportunities are subject to client demand and contractor performance.
3. Eligibility and Registration
3.1 Age and Legal Requirements
- You must be at least 21 years of age
- You must have legal authorization to work in your country of residence
- You must provide accurate and complete information during registration
- You must maintain updated contact information and payment details
3.2 Technical Requirements
- Reliable internet connection with sufficient bandwidth for remote work
- Computer, tablet, or smartphone capable of accessing our platform
- Basic proficiency in English for communication and task completion
- Ability to work independently and meet deadlines
3.3 Registration Process
The registration process includes application submission, virtual interview, skill assessment, and background verification as applicable. Nova reserves the right to reject applications or terminate accounts that do not meet our standards.
4. Independent Contractor Relationship
Important: All work performed through Nova's platform is on an independent contractor basis. You are not an employee of Nova or its clients.
4.1 Contractor Status
By using our platform, you acknowledge and agree that:
- You are an independent contractor, not an employee
- You are responsible for your own taxes, insurance, and benefits
- You have control over when, where, and how you complete assigned tasks
- You may work for other platforms or clients simultaneously
- Nova does not provide employment benefits, vacation pay, or other employee entitlements
4.2 Tax Responsibilities
As an independent contractor, you are responsible for:
- Reporting all income earned through the platform
- Paying applicable income taxes, GST/HST, and other required taxes
- Maintaining accurate records of your earnings and expenses
- Obtaining any required business licenses or permits
5.1 Acceptable Use
You agree to use the platform only for its intended purposes and in accordance with these Terms. You will:
- Provide accurate information in all communications
- Complete assigned tasks to the best of your ability
- Maintain professional communication with clients and Nova staff
- Report any technical issues or concerns promptly
- Protect your account credentials and prevent unauthorized access
5.2 Prohibited Activities
You may not:
- Share your account access with others
- Attempt to contact clients directly outside the platform without authorization
- Submit false or misleading information
- Engage in any illegal activities through the platform
- Interfere with the platform's operation or other users' access
- Violate any applicable laws or regulations
6. Work Requirements and Standards
6.1 Quality Standards
All work must meet Nova's quality standards and client requirements. This includes:
- Completing tasks accurately and within specified timeframes
- Following provided instructions and guidelines
- Maintaining consistent quality across all assignments
- Participating in training and improvement programs as required
6.2 Performance Monitoring
Nova reserves the right to monitor work quality and may:
- Review completed tasks for quality assurance
- Provide feedback and additional training
- Adjust work assignments based on performance
- Suspend or terminate accounts for consistent poor performance
7. Compensation and Payment
7.1 Payment Rates
Payment rates vary by task type and complexity, typically ranging from CA$16-27 per hour for various assignments. Rates are communicated before task acceptance and may be adjusted based on:
- Task difficulty and requirements
- Contractor experience and performance
- Client budget and market conditions
- Volume and consistency of work
7.2 Payment Terms
- Payments are processed weekly or bi-weekly as specified
- Payment methods include direct deposit, PayPal, or other approved methods
- Minimum payment thresholds may apply
- Payment processing may take 3-5 business days
- Currency conversion fees, if applicable, are the contractor's responsibility
7.3 Payment Disputes
Payment disputes must be reported within 30 days of the payment date. Nova will investigate and resolve disputes fairly and promptly.
8. Intellectual Property
8.1 Work Product
Unless otherwise specified, all work products created through the platform belong to the client. You assign all rights, title, and interest in completed work to the client upon payment.
8.2 Platform Content
Nova retains all rights to the platform, including software, content, trademarks, and proprietary processes. You may not copy, modify, or distribute any platform content without authorization.
9. Confidentiality
You agree to maintain strict confidentiality regarding:
- Client information and business details
- Task-specific instructions and materials
- Platform processes and methodologies
- Other contractors' information
- Nova's business operations and strategies
This confidentiality obligation continues indefinitely, even after termination of your account.
10. Termination
10.1 Termination by Contractor
You may terminate your account at any time by providing written notice to Nova. Outstanding payments for completed work will be processed according to standard payment terms.
10.2 Termination by Nova
Nova may terminate accounts immediately for:
- Violation of these Terms
- Poor work quality or performance
- Fraudulent or illegal activity
- Breach of confidentiality
- Extended inactivity
10.3 Effect of Termination
Upon termination, you must cease all platform use and return any confidential materials. Surviving provisions include confidentiality, intellectual property, and limitation of liability clauses.
11. Limitation of Liability
Important Limitation: Nova's liability is limited as described below. Please read carefully.
To the maximum extent permitted by law:
- Nova's total liability is limited to the amount paid to you in the 12 months preceding the claim
- Nova is not liable for indirect, incidental, or consequential damages
- Nova does not guarantee continuous work availability or income levels
- You use the platform at your own risk
- Nova is not responsible for tax obligations or employment law compliance in your jurisdiction
12. Indemnification
You agree to indemnify and hold harmless Nova from any claims, damages, or expenses arising from:
- Your violation of these Terms
- Your negligent or wrongful conduct
- Your violation of applicable laws
- Claims related to your tax or employment status
- Intellectual property infringement claims
13. Governing Law and Jurisdiction
These Terms are governed by the laws of British Columbia, Canada. Any disputes will be resolved in the courts of Vancouver, British Columbia. You consent to the jurisdiction of these courts and waive any objection to venue.
13.1 Dispute Resolution
Before initiating legal proceedings, parties agree to attempt resolution through:

- Mediation if negotiation fails
- Binding arbitration as a final resort
14. General Provisions
14.1 Entire Agreement
These Terms constitute the entire agreement between you and Nova regarding platform use, superseding all prior agreements.
14.2 Severability
If any provision is found unenforceable, the remaining provisions remain in full force and effect.
14.3 Assignment
You may not assign your rights under these Terms. Nova may assign its rights and obligations at any time.
14.4 Waiver
Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
14.5 Force Majeure
Neither party is liable for delays or failures due to circumstances beyond their reasonable control, including natural disasters, government actions, or technical failures.
